Hello everyone.

I’m exploring the world of independent sponsor transactions and want to better understand the dynamics from the investor’s perspective. Specifically, how do family offices, private equity funds, and high net worth individuals evaluate opportunities when partnering with independent sponsors?

For those with experience, what factors typically drive their decision making beyond financial returns such as sponsor track record, sector expertise, or alignment of interests? I’ve noticed discussions around risk sharing structures but little about how investors in independent sponsor deals negotiate terms to protect themselves while fostering long term collaboration.

Any insights or resources would be greatly appreciated!
